Terms of service
1. Parties and scope
These Terms of Service govern access to and use of the PARALLAX RC® platform, operated by PARALLAX_rc SLU, Parque Tecnológico de Andalucía, Málaga, Spain (the Vendor).
By submitting a request for access, accepting a licence offer, or using the platform in any capacity, you (the Licensee) agree to these Terms in full.
These Terms apply to all interactions with the platform, including the registration process, the Academy, and any licence granted.
2. Licence grant
Subject to the Licensee's compliance with these Terms and payment of the applicable licence fee, the Vendor grants a non-exclusive, non-transferable, non-sublicensable licence to use the PARALLAX RC® platform in accordance with the scope agreed in the applicable commercial schedule.
The licence is granted to the named organisation only. Individual practitioner access is not sold — it is granted to named individuals who have passed the Academy examination at the relevant level. A practitioner licence travels with the individual and is not transferable to another person or organisation.
No licence is granted to any third party. The Licensee may not permit any person who is not a named practitioner to access or operate the platform.
3. Restrictions
The Licensee shall not: (a) copy, modify, adapt, translate, reverse-engineer, decompile or disassemble the platform, except to the extent permitted by Article 6 of Directive 2009/24/EC on the conditions set out therein; (b) sublicense, sell, resell, transfer, assign, or otherwise exploit the platform for the benefit of any third party; (c) use the platform to train, fine-tune, benchmark or evaluate any competing system; (d) conduct systematic input-output probing or differential testing of the platform for the purpose of deriving its internal logic; (e) remove or obscure any proprietary notice, mark or legend on the platform.
Outputs produced by the platform (retrieval results, custody records, findings) may be used by the Licensee in the ordinary course of its professional work, subject to the restrictions above.
4. Intellectual property
PARALLAX RC®, VSP®, and all associated marks are the property of PARALLAX_rc SLU. Nothing in these Terms transfers any intellectual property right to the Licensee.
The Licensee retains all rights to its own documents, data and findings. The Vendor has no access to, and makes no claim over, any content processed by the platform.
5. No warranty
The platform is provided "as is". The Vendor makes no warranty, express or implied, as to fitness for any particular purpose. The Vendor does not warrant that the platform will be uninterrupted or error-free.
The Licensee is solely responsible for verifying the accuracy, completeness and admissibility of any finding produced using the platform before relying on it in any proceeding, submission or publication.
6. Limitation of liability
To the maximum extent permitted by applicable law, the Vendor's total aggregate liability to the Licensee under or in connection with these Terms shall not exceed the licence fees paid by the Licensee in the twelve months preceding the claim.
The Vendor is not liable for any indirect, consequential, incidental or special loss, including loss of profits, loss of data, or loss of opportunity, whether or not the Vendor was advised of the possibility of such loss.
7. Term and termination
These Terms remain in force for the duration of any active licence. Either party may terminate a licence for material breach on thirty (30) days' written notice if the breach is not remedied within that period.
On termination: (a) all licences granted cease immediately; (b) the Licensee shall cease all use of the platform; (c) all custody records and data held locally by the Licensee remain the Licensee's property.
8. Governing law and jurisdiction
These Terms are governed by the law of Spain. Tribunales de Málaga have exclusive jurisdiction.
